Reporting line: Executive Secretary of the Supervisory Board and Chief Ethics & Compliance Officer (who himself reports to the President & CEO of the Company, and to the Chairman of the Supervisory Board for his Executive Secretary role)

 

As a senior and trusted advisor, the Governance & Business Integrity Director will be primarily responsible for:

1/ Corporate Governance: To support, develop and maintain solid corporate governance principles, in line with the Dutch Corporate Governance Code and the Articles of Association the Company, as well as the Company’s listing in three different jurisdictions (NYSE, Euronext Paris, Borsa Italiana).

 

In close collaboration with the Executive Secretary of the Supervisory Board, this includes (without limitations):

  • to assist the Executive Secretary of the Supervisory Board in the preparation of, and organize meetings of, the Supervisory Board and its Committees, in accordance with applicable laws and regulations;
  • to assist the Company in the preparation, drafting and filing of corporate governance documents such as the Company’s Corporate Governance Charter, the Charter of the Supervisory Board, the Charter of the Managing Board & Executive Committee, ort other relevant corporate governance documents;
  • to develop and deploy an induction program, as well as an ongoing education & training program, for members of the Supervisory Board;
  • to inform and assist the Company and/or members of the Supervisory Board on legal matters relating to the functioning of the Supervisory Board and its Committees;
  • to prepare and keep current the legal and tax related files for the members of the Supervisory Board, and to carry out the necessary filings or formalities in connection with the activities or decisions of the Supervisory Board;
  • to assist the members of the Supervisory Board with administrative and tax filings related to their remuneration.

2/ Business Integrity: To support and proactively contribute to the development and deployment of an effective Ethics, Compliance & Privacy Program, globally.

In close collaboration with the Chief Ethics & Compliance Officer and a dedicated Ethics & Privacy team of professionals, this includes (without limitations):

  • to foster and promote a culture of integrity, respect and accountability throughout the organizations and leadership lines;
  • to mature the design and deployment of an effective Ethics, Compliance & Privacy program, ensuring adoption within the Company’s affiliates and organizations worldwide.
  • to support the development and promote the use of data analytics and relevant KPIs’ for the monitoring and measuring of the effectiveness of the Program.
  • to contribute to internal reviews and investigations.
  • to provide guidance and advise on a wide variety of compliance-related topics, as well as to create, draft or update relevant policies and procedures to ensure adherence to applicable laws and regulations in all countries where the Company operates.
  • to provide training and develop guidance on a wide range of topics such as: conflicts of interest, bribery and corruption, gifts and entertainment, third party due diligence, data privacy and data security, insider trading, antitrust, discrimination and harassment, whistleblowing and related investigations, etc.

 

Profile:

A minimum of 7 years of successful experience, both in private practice and/or in-house, in an international and multicultural environment.

Highly motivated, proactive, self-starter with excellent judgement, professional maturity, flexibility, confidence, and diplomacy.

Solution-oriented with excellent drafting, analytical, organizational and problem-solving skills. Organized, with great attention to details.

Proven project management skills, with demonstrated ability to prioritize tasks, and to work on tight deadlines.

Demonstrated communication and presentation skills (incl. ability to engage at all levels and a multicultural environment).

Ability to manage multifaceted projects, to set priorities and inspire others

Team player, flexible, proactive, and pragmatic “doer” with good common sense.

Proven capabilities in conducting internal investigations
